These Terms and Conditions ("Terms") govern the use of the Vidiu platform ("Vidiu") provided by VideoSmart ("VideoSmart Ltd") to businesses ("Users"). By accessing or using Vidiu, Users agree to be bound by these Terms. If Users do not agree to these Terms, they must not access or use Vidiu.
1. Use of Vidiu
1.1 Users must be at least 18 years old and authorised to use Vidiu on behalf of their business.
1.2 Users may use Vidiu to send video messages to their business partners, clients, or employees for legitimate business purposes.
1.3 Users must not use Vidiu for any illegal or unauthorised purposes or in any way that violates any laws, regulations, or third-party rights.
2. Privacy
2.1 VideoSmart respects Users' privacy and will collect and use their personal information only for the purpose of providing Vidiu services.
2.2 VideoSmart may use cookies and other tracking technologies to improve Vidiu's performance and User experience.
2.3 Users are responsible for obtaining any necessary consents from individuals whose personal information they upload, send or otherwise process through Vidiu.
3. Intellectual Property
3.1 VideoSmart and its licensors own all intellectual property rights in Vidiu, including any software, graphics, logos, and trademarks.
3.2 Users may not copy, modify, distribute, or use any of VideoSmart or any associated licensor intellectual property without its express written consent.
4. Custom Font Upload
4.1 User Responsability: By uploading a custom font to the Vidiu platform, you confirm that you have the necessary rights, permissions, and licenses to use and upload the font. You agree that you will not upload any font that infringes on the intellectual property rights of others.
4.2 Intellectual Property Rights: You retain all ownership rights to any custom fonts you upload. By uploading the font, you grant Vidiu a non-exclusive, worldwide, royalty-free license to use, reproduce, and display the font solely for the purpose of providing and improving our bespoke services.
4.3 Liability: Vidiu is not responsible for any claims, damages, or disputes arising from the use of custom fonts uploaded by users. You agree to indemnify and hold Vidiu harmless from any claims or damages resulting from your breach of these terms.
5. Termination
5.1 VideoSmart may terminate Users' access to Vidiu at any time, without notice for any reason.
5.2 VideoSmart may terminate Users' access to Vidiu at any time, without notice if they violate these Terms.
5.3 Upon termination, Users must immediately cease using Vidiu.
6. Governing Law and Jurisdiction
6.1 These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where VideoSmart is based.
6.2 Any disputes arising from these Terms or the use of Vidiu shall be resolved in the courts of the jurisdiction where VideoSmart is based.
7. Order of Precedence
7.1 These Terms take precedent over any online terms that might be effective due to use of Vidiu.
